Darcy has extensive experience acting as a trusted advisor to senior business leaders, helping them to navigate complex commercial contracts, transactions, and controversies in a commercial and risk-based manner.

Darcy has spent over a decade working in global law firms and the internal legal teams of multinational and ASX-listed corporations. He is accustomed to operating in sensitive, fast-paced environments, and focuses on reducing complexity for stakeholders and providing clear, concise legal advice

Darcy has extensive transactional experience, including:

    • Drafting a wide range of commercial contracts, including goods supply agreements, services agreements, procurement agreements, sponsorship agreements, IT contracts, NDAs/confidentiality agreements, licence agreements, and term sheets.

    • Guiding clients through complex contractual negotiations, assisting contract parties to reach alignment on key terms and finalise deals.

    • Advising on commercial and contractual controversies, with a view to achieving a prompt and sensible resolution.

    • Assisting clients to develop or enhance standard contract templates and T&Cs

    • Advising on joint venture, shareholder and unitholder agreements.

    • Advising on the acquisition and disposal of businesses and assets.

    • Advising on key procedural components of corporate transactions, such as joint bidding / teaming agreements, due diligence and data room processes, and information sharing / clean team protocols.

    • Advising businesses on compliance with complex regulatory regimes, including the Competition and Consumer Act, Privacy Act and Spam Act.

    • Guiding businesses through regulatory investigations, including numerous ACCC investigations and market studies.

    • Preparing correspondence with regulators including submissions and responses to requests for information.
